1. DEFINITIONS & INTERPRETATION
"Company"
refers to PadosiAgent ServTech Private Limited, including its website, mobile applications, dashboards, APIs, tools, and all related services.
"Platform"
means www.padosiagent.com and all subdomains, software, tools, and services offered by the Company.
"User / Agent"
means any individual or entity registering or accessing the Platform, including insurance agents, POSPs, brokers, advisors, intermediaries, or professionals.
"Services"
means digital listing, profile visibility, lead facilitation, digital tools, analytics, marketing support, and other value-added services.
"Leads"
mean enquiries or contact information shared through the Platform without any guarantee of conversion.
"Subscription Plan"
means any paid or free plan chosen by the User.
"Lifetime Access"
means access to features only while the Company continues operations and the User pays applicable annual maintenance charges, if any.
2. ACCEPTANCE OF TERMS
By accessing, registering, or using the Platform, the User irrevocably agrees to be bound by these Terms, Privacy Policy, and all policies referenced herein.
If the User does not agree, they must immediately discontinue use of the Platform.
3. ELIGIBILITY & REPRESENTATIONS
The User confirms that:
- They are 18 years or older
- They are legally permitted to offer their professional services
- All details submitted (PAN, licenses, certifications, experience) are true and verifiable
- They shall comply with IRDAI / SEBI / RBI / State or Central regulations, as applicable
The Company does not act as a regulator, employer, principal, or insurer.
4. ROLE OF THE COMPANY
PadosiAgent is a technology-enabled service provider only.
The Company:
- ❌ Does NOT sell insurance, investments, or financial products
- ❌ Does NOT guarantee sales, income, commissions, or business success
- ❌ Does NOT verify suitability, advice quality, or product correctness
All professional services are solely rendered by the Agent at their own discretion and liability.
5. ACCOUNT REGISTRATION & VERIFICATION
- Users must provide accurate information
- PAN / license verification may be conducted
- The Company reserves the right to reject, suspend, or terminate accounts without explanation
- One person → one account unless explicitly approved
- False, misleading, or forged information results in immediate termination without refund.
6. SUBSCRIPTIONS, PRICING & PAYMENTS
- All fees are exclusive of applicable taxes
- Payments are processed via third-party gateways
- No refunds once service access is activated
- Plans, features, and pricing may be modified at any time
- Promotional or pre-launch pricing is time-bound and non-precedential
7. LEADS & BUSINESS DISCLAIMER (NO GUARANTEE)
- Leads are shared on availability basis
- Lead quality, intent, and conversion are not guaranteed
- Duplicate or non-responsive leads do not entitle refunds
- Leads are non-transferable and non-resellable
The Company shall not be liable for:
- Loss of business
- Loss of opportunity
- Client disputes
- Non-conversion
8. AGENT OBLIGATIONS
The User agrees:
- Not to mis-sell or misrepresent
- Not to violate any law or regulation
- To maintain professional ethics
- To handle client data lawfully
Any misconduct is solely the Agent's liability.
9. MIS-SELLING, LEGAL ISSUES & LIABILITY
In case of:
- Client complaint
- Legal notice
- Regulatory action
- Financial loss
- Criminal or civil dispute
The Company bears ZERO responsibility.
The Agent agrees to indemnify and hold harmless the Company, its directors, employees, and partners.
10. CONTENT & INTELLECTUAL PROPERTY
- All platform content belongs to the Company
- User grants the Company a royalty-free license to display profile content
- Unauthorized copying, scraping, or resale is prohibited
11. SUSPENSION & TERMINATION
The Company may:
- Suspend access without notice
- Terminate accounts permanently
- Remove content at its discretion
No compensation or refund shall be payable.
12. LIMITATION OF LIABILITY
Maximum liability of the Company, if any, shall be limited to the amount paid by the User in the last 3 months.
No liability for:
- Indirect damages
- Loss of profits
- Data loss
- Business interruption
13. FORCE MAJEURE
The Company shall not be liable for delays or failures due to events beyond control including:
- Natural disasters
- Government actions
- Internet failures
- Cyber incidents
14. GOVERNING LAW & JURISDICTION
Governed by laws of India
Exclusive jurisdiction: Courts of Ahmedabad, Gujarat
15. MODIFICATIONS
The Company may update these Terms at any time. Continued use constitutes acceptance.
